Affiliate Terms and Conditions

These Affiliate Terms and Conditions (“Agreement”) govern the relationship between Learn and Permits (“Company”) and individuals or entities (“Affiliate”) who participate in the Company’s affiliate program (“Program”) to promote and sell Learn and Permits products. By joining the Program, the Affiliate agrees to comply with these terms and conditions.

  1. Enrollment in the Program
    1. Eligibility: To become an Affiliate, the individual or entity must apply through the Company’s designated application process and be approved by the Company.
    2. Accurate Information: The Affiliate must provide accurate and up-to-date information during the application process, including contact details, payment information, and any other requested information.
  1. Affiliate Responsibilities
    1. Promotion: The Affiliate shall promote Learn and Permits products through the material covered on LearnCertify.com website, on their website, blog, social media channels, or other appropriate platforms.
    2. Compliance with Laws: The Affiliate agrees to comply with all applicable laws, regulations, and guidelines in promoting and selling Learn and Permits products.
    3. Prohibited Activities: The Affiliate shall not engage in any activities that may harm the reputation or brand of Learn and Permits, including but not limited to, spamming, misleading advertising, or any unethical or illegal practices.
    4. Truthful Representation: The Affiliate shall accurately represent Learn and Permits products and avoid making false or misleading claims about the products, benefits, or guarantees.
    5. Website Maintenance: The Affiliate is responsible for the maintenance and operation of their website, including ensuring that it complies with all legal requirements, is secure, and functions properly.
  1. Commissions and Payments
    1. Commission Structure: The Company will provide the Affiliate with a commission rate for each sale of Learn and Permits products made through their unique affiliate link.
    2. Qualified Sales: Commissions will be paid only on qualified sales, which are sales made to customers who have followed the Affiliate’s unique affiliate link and completed a purchase on the Company’s website.
    3. Payment Terms: Commissions will be paid on a monthly basis, typically within 60 days after the end of each calendar month. The Affiliate must reach a minimum threshold of $100 and 3 transactions before payments are processed.
    4. Payment Method: The Company will provide payment to the Affiliate through the method specified during the application process, such as PayPal, direct bank transfer, or other mutually agreed-upon method.
  1. Intellectual Property and Branding
    1. Trademarks and Copyrights: The Affiliate acknowledges that all trademarks, service marks, copyrights, and other intellectual property rights associated with Learn and Permits products are the exclusive property of the Company. The Affiliate shall not use any of these intellectual property rights without the Company’s prior written consent.
    2. Approved Marketing Materials: The Affiliate may use only the available information on Learn and Permits website for promoting Learn and Permits products. The Affiliate shall not modify or alter these materials without the Company’s written permission.
  1. Termination
    1. Termination by Either Party: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
    2. Consequences of Termination: Upon termination, the Affiliate shall immediately cease promoting and selling Learn and Permits products, remove any affiliate links or marketing materials from their website or other platforms, and return or destroy any confidential or proprietary information obtained from the Company.
  1. Modification of Terms
    1. Amendment: The Company reserves the right to modify or update these Affiliate Terms and Conditions at any time. The Affiliate will be notified of any changes, and continued participation in the Program after the changes will constitute acceptance of the modified terms.
  1. Governing Law and Dispute Resolution
    1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of California, United States.
    2. Dispute Resolution: Any disputes arising from or relating to this Agreement shall be resolved through good-faith negotiations between the parties. If a resolution cannot be reached, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association.

By joining the Learn and Permits affiliate program, the Affiliate acknowledges that they have read, understood, and agreed to these Affiliate Terms and Conditions.
